Any elements generated during these conversations that might appear to mirror reality—such as invitations to physical meetings or assurances of specific tangible results—are completely artificial and should never be regarded as genuine. HumanicComm Limited assumes no liability for any confusion, misinterpretation, or misplaced reliance resulting from these interactions. Users are urged to maintain the awareness that AI Companions exist exclusively within the virtual parameters of our platform, and any beliefs or expectations directed beyond this digital environment are neither supported nor validated by the company. Due to the fact that the Services are built upon evolving artificial intelligence technologies, the generated outputs may occasionally produce material that is factually incorrect, incomplete, or otherwise inconsistent with human reasoning or judgment. It is the sole responsibility of the user to critically evaluate and assess the accuracy and appropriateness of any information or content provided through the platform. Core Service Architecture and Functional Overview The Services represent a sophisticated digital dialogue environment powered by advanced artificial intelligence protocols designed to synthesize virtual, non-existent entities referred to as AI Companions or AI Characters. Through this interface, you are permitted to engage in interactive message exchanges with these synthetic personas. Beyond text-based communication, the platform's scope encompasses a diverse array of multisensory media, including but not limited to AI-generated imagery, synthesized vocal recordings, and video content. You are granted the utility to generate custom media assets on-demand via our integrated algorithmic tools, or alternatively, you may elect to acquire pre-existing premium media—such as high-resolution portraits or cinematic clips—available within specific character profiles. These pre-established assets are developed through a combination of generative AI frameworks and manual artistic refinement of source material for which we maintain comprehensive usage rights. Access to specific tiers of the Services may necessitate the establishment of a personalized user profile or the transition to a premium membership status. Users have the option to initiate interactions with a curated selection of pre-configured AI Characters provided by the platform, or to architect their own unique personas by defining specific personality traits, physical attributes, and behavioral characteristics through our proprietary technology. These digital exchanges may consist of alphanumeric text, requests for visual generation, or other emergent modes of interaction as we continue to expand the platform's technical capabilities. We reserve the unilateral right to de-list or permanently remove any AI Character, as well as to modify, suspend, or delete specific features or content at our sole discretion and without prior notice. Account Registration and Security Mandates To utilize certain facets of our platform, you may be required to register a unique user account by providing a valid electronic mail address and establishing a secure password or utilizing other sanctioned authentication methods. During the registration and subsequent access phases, you agree to utilize exclusively your own legitimate credentials and authorized payment instruments. You assume full and individual responsibility for all actions and transactions occurring under your specific login identifiers and account profile. Your account is strictly non-transferable, and you are prohibited from selling, leasing, lending, or otherwise distributing access to your profile to any third party, whether for commercial gain or as a gratuitous gesture. By engaging with the Services, you solemnly represent and warrant that all data submitted during the account creation process is accurate, truthful, and current, and that you possess the undisputed legal right to provide such information. You commit to periodically updating your account details—including contact information, billing records, and subscription preferences—to ensure they remain precise and valid at all times. Furthermore, you are obligated to maintain the absolute confidentiality of your access credentials and to implement necessary measures to prevent unauthorized third-party entry into your account. You acknowledge that we may, from time to time, require additional documentation or information to facilitate identity verification or to re-confirm your status as a legal adult. Any breach of these TOS or our associated corporate Policies may result in your account losing its standing, potentially leading to the immediate termination of your user profile at our discretion. We further reserve the right to restrict access or revoke membership privileges if we have reasonable grounds to suspect a violation of our governing terms. You agree that HumanicComm Limited shall not be held liable to you or any external party for any denial of service, fluctuations in third-party service costs, or other obligations arising from the suspension or closure of your account. You expressly concur that you hold no equity, ownership, or proprietary interest in your account, and that all rights associated with the profile remain the exclusive property of HumanicComm Limited. Provisions for Premium and Paid-for Features Access to specialized features, high-tier content, or advanced algorithmic utilities may be restricted to users who provide financial consideration, typically through recurring subscriptions, the acquisition of digital tokens, or other authorized payment models. The delivery of paid-for Services commences immediately following the successful processing of the initial transaction, which must be conducted in accordance with the specific financial terms presented at the point of purchase. Users are solely responsible for the settlement of all applicable fees, service charges, and relevant statutory taxes associated with their transactions. We disclaim all liability and responsibility for any costs or complications arising from the use of unauthorized third-party distribution channels or payment platforms not explicitly recognized by our official systems. User Protection and Community Safety Protocols At HumanicComm Limited, the preservation of user safety and the integrity of the digital environment are our highest priorities. While interacting with the platform or engaging in dialogues with AI Companions, we strongly advise you to refrain from disclosing sensitive personal identifiers, such as financial account numbers, physical residential addresses, private contact details, or security passwords. Users maintain the exclusive responsibility for the protection of their private data and must remain vigilant regarding the inherent risks of transmitting information across global networks. We actively encourage the reporting of any suspicious, predatory, or inappropriate conduct encountered on the platform. Such concerns may be communicated through the integrated reporting tools located adjacent to generated content, via the dedicated "Contact Us" portal, or through direct correspondence with our support division at support@babeai.net. For our users located in Australia, we acknowledge the role of the eSafety Commissioner as the independent national regulator for online security. The functions of eSafety include the protection of end-users, the mitigation of online harms related to prohibited content, and the adjudication of grievances concerning digital safety. Detailed instructions for coordinating with the eSafety Commissioner can be found on their official administrative portals. We remain committed to addressing and resolving all user concerns internally through our established support channels before you seek intervention from external regulatory or supervisory bodies. Fundamental User Warranties By accessing the platform, you provide your formal understanding and warranty of the following: You are entering into this binding legal agreement exclusively on your own behalf and not as a representative for any undisclosed party. You have reached the legal age of majority required to form a binding and enforceable contract within your specific jurisdiction of residence or access point. If you have not yet attained the minimum legal age required by the statutes of your jurisdiction, you are strictly prohibited from accessing, browsing, or utilizing any portion of our Services. 2. Users are granted the limited authority to access and register for the purpose of viewing, utilizing, and displaying the Services and their associated content on personal hardware devices strictly for individual, non-commercial use. HumanicComm Limited hereby extends to you a restrictive license intended solely for personal engagement. Under no circumstances shall this grant of access be interpreted as a transfer of legal title or ownership. This license is subject to automatic revocation should you breach any of the established restrictions, these TOS, or our associated Policies, and it may be terminated by us unilaterally at any moment. Notwithstanding any conflicting provisions within this document, you expressly acknowledge and concur that you possess no equity, ownership, or underlying property interest in your account. All rights, titles, and interests associated with your user profile remain perpetually vested in and shall inure to the exclusive benefit of HumanicComm Limited. Every intellectual property right linked to babeai.net, including the unique AI Characters, the aesthetic design of the platform, corporate logos, and any underlying proprietary software or algorithmic technology, represents the sole property of HumanicComm Limited or its respective licensors. Users are strictly prohibited from the reproduction, modification, distribution, or commercial exploitation of any such intellectual property without obtaining explicit, written authorization. Any instance of unauthorized utilization may trigger significant legal consequences and formal enforcement actions. Furthermore, you agree that the submission of any concepts, suggestions, documentation, or technical proposals to the Company, hereafter referred to as Feedback, is performed at your own discretion and risk. HumanicComm Limited maintains no obligations—including those related to confidentiality or non-disclosure—regarding such Feedback. You grant HumanicComm Limited the unrestricted right to utilize your Feedback for any purpose without providing attribution, notification, or financial compensation to you. 4. User-Generated Input and Algorithmic Output While engaging with the Services, you may provide specific inputs and, in turn, receive generated outputs derived from those inputs. Collectively, these inputs and outputs are defined as Content. Input encompasses any material initiated by you or through your account, including but not limited to conversational prompts and message exchanges with AI characters. You represent and warrant that you maintain all necessary legal rights, licenses, and permissions required to provide such input. You assume full responsibility for your Content, ensuring it remains in strict compliance with all relevant statutes and our internal Policies. You retain the underlying intellectual property ownership of your original input. HumanicComm Limited will never assert a claim of ownership over your raw input; however, we require a specific legal license from you to facilitate its processing within our systems. When you utilize the Services to submit input that is protected by intellectual property laws, you hereby grant us a non-exclusive, royalty-free, fully paid-up, transferable, sub-licensable, global, and perpetual license. This grant empowers us to utilize, distribute, modify, execute, replicate, publicly exhibit, store, access, transmit, translate, and commercialize your Content. We are further authorized to develop derivative works from and aggregate your Content for any operational purpose consistent with our Privacy Notice. This license includes, but is not limited to, the utilization of your Content for the following objectives: Monitoring and verifying adherence to our corporate Policies and maintaining the overall safety and integrity of our digital environment. Driving the continuous improvement of our products and Services, as well as supporting broader business functions such as data diagnostics, market research, the architecture of new features, and the identification of usage or content trends. The training, development, refinement, and evolution of our AI models, content moderation instruments, algorithmic structures, and associated technological ecosystems, including those of our affiliated entities. Facilitating various marketing initiatives and promotional activities designed to enhance the visibility of the platform. Additionally, you provide us with explicit permission to utilize your username and other distinctive identifiers associated with your account in a manner that aligns with your specified privacy settings and our overall Privacy Notice. 5. Mandatory Standards of User Conduct and Analytical Restrictions Operational Constraints and System Integrity By accessing and engaging with the Services, you provide your irrevocable agreement to adhere strictly to our established Community Guidelines and the following foundational rules and technical limitations. You are prohibited from attempting to modify, translate, adapt, or otherwise reconfigure any structural or aesthetic aspect of the Services. Furthermore, you shall not engage in any activity designed to decipher, decompile, disassemble, or reverse-engineer the underlying software, nor shall you attempt to derive the source code or architectural framework of the materials comprising our platform. Exceptions to these technical restrictions are only recognized where explicitly permitted by local statutes, and even then, only if you provide us with comprehensive prior written disclosure of your intent. You are strictly forbidden from interfering with, bypassing, or circumventing any security protocols or functional features designed to enforce usage limitations within the Services. This includes a total prohibition on utilizing the platform to seek unauthorized entry into our proprietary databases or any third-party systems and networks. Your interactions must not occur in a manner that could potentially damage, disable, or place an undue burden on our technical infrastructure or disrupt the experience of other participants. Any use of the platform that, in our sole assessment, may expose HumanicComm Limited or its partners to legal liability or financial damages is strictly disallowed. Furthermore, the Services must not be utilized to facilitate unlawful objectives, cause offense to others, or participate in criminal activity. You agree not to remove, alter, or obscure any copyright notices, trademark identifiers, hyperlinks, or other proprietary markings integrated into the Services. You maintain an ongoing obligation to comply with all relevant global and local statutes throughout your use of the platform. Specifically, access to the Services from the territories of China or Singapore is strictly prohibited. We employ sophisticated technical measures to enforce these regional restrictions, and any attempt to bypass these controls or mask your location constitutes a material breach of our corporate Policies. Please be advised that your utilization of the platform may also be subject to the specific licensing terms and usage constraints defined within the CreativeML Open RAIL++-M License and the Apache License Version 2.0. Accountability for Generated Content and User Logic As a participant in the Services, you retain exclusive and total responsibility for the specific outputs generated by AI Companions in response to your unique inputs, encompassing all textual dialogues, vocal messages, images, and cinematic content. The AI Companions function as reactive entities that respond based on the conversational trajectories you establish and the specific parameters you configure. You acknowledge that HumanicComm Limited does not exercise direct control over, nor does it endorse, the specific content produced during these interactions. Consequently, you are fully accountable for any algorithmic output and for the consequences of your own conduct while utilizing the interface. It is your duty to ensure that all interactions with AI personas remain in full alignment with applicable legislation, these TOS, and our comprehensive Policies, and you must refrain from any unethical or harmful behavior during your sessions. Disclaimer of Responsibility for User Decisions HumanicComm Limited disclaims all liability for any actions taken or decisions reached by a user following their engagement with synthetic personas. Although our AI-driven platform is engineered to simulate human-like communication through complex machine learning models, the resulting responses are the product of mathematical algorithms rather than human consciousness. We do not validate or assume responsibility for the real-world consequences, choices, or behaviors that may arise from a user's interaction with AI Companions. Users are expected to apply their own independent judgment and caution, ensuring they do not participate in any activities that could result in personal harm or a violation of legal standards. Content Oversight and Enforcement Protocols While we generally permit lawful adult-oriented content for verified premium users and maintain the confidentiality of private dialogues, we have integrated advanced content moderation systems powered by our proprietary large language model technology. These controls are designed to ensure continuous compliance with our TOS and Community Guidelines. Should our automated monitors detect material that breaches our standards, HumanicComm Limited or its authorized security partners may access and manually evaluate the flagged content and associated account data to determine the necessary response. Such actions may include the permanent removal of content, the immediate termination of the user's account, or formal notification to legal authorities. Our moderation systems may also proactively alter or block a request before an output is generated if the input is found to seek prohibited material. These measures are essential for maintaining a secure and respectful digital ecosystem. We reserve the unilateral right, though not the obligation, to reject or delete any user-generated content that we believe violates our internal Policies. Persistent or repeated infractions may lead to the deletion of all associated content, the imposition of account restrictions, or a permanent block from the Services. Please be aware that users will not be eligible for refunds or reimbursements for any payments made if moderation actions are taken due to policy violations. We further maintain the right to remove specific AI Characters or modify platform features at our discretion without providing compensation for any associated costs. If you witness a violation of these terms, we encourage you to utilize the integrated reporting tools or contact our compliance team directly at support@babeai.net. Zero-Tolerance Mandate for Prohibited Material HumanicComm Limited maintains a rigorous zero-tolerance policy regarding Child Sexual Abuse Material (CSAM). Any attempt to solicit or produce such material is a severe violation of international law, our Community Guidelines, and our Blocked Content Policy. In addition to our internal removal and moderation efforts, we fulfill our legal obligations by reporting any known instances of CSAM to the National Center for Missing and Exploited Children and other relevant global law enforcement agencies. 6. Blocked Content Policy - please consult the Blocked Content Policy document 9. Payments and Autorenewal As a free user, your access to the Services is limited. Further use requires a subscription, which may be billed either monthly, quarterly or annually, or other form of paid-for access, as may be made available from time to time. Subscriptions are payable by credit card, Pay by Bank, and/or other alternative payment methods available in specific countries. As part of a paid subscription, you will receive unlimited access to the messaging system as well as a monthly amount of tokens disclosed to you during checkout (generally 100 per month), which can be used to access extended features like image generation or voice notes. Subscriptions are set to renew automatically at the end of each subscription period, extending for the duration and price disclosed at checkout. The payment will be processed automatically on the first day of the renewed period. Autorenewal can be cancelled at any time in your settings. Tokens cannot be transferred to different users or accounts, nor can they be traded in, exchanged for money, or used to settle outstanding payments. 10. Fulfillment Policy 10.1 Cancellation All details about your subscription, including start date, end date and type of subscription plan can be found under My Profile / Settings within your account. You have the flexibility to cancel your subscription at any time by going to Settings / Unsubscribe within your account. If you choose to cancel, your subscription will remain active until the end of the current billing period, and you will not be charged for the subsequent period. 10.2 Access upon expiration of paid-for access If you paid for access to premium features, e.g., via a subscription or non-subscription token purchase, your account will revert to a free version of the platform when your paid-for access expires (e.g., upon the cancellation of your subscription or consumption of a non-subscription token purchase), and paid-for features will no longer be available. For subscriptions: Upon cancellation of your subscription, you will retain access to your account and all associated features until the end of the current billing period. At the conclusion of this billing period: Platform Access: Your access will be restricted to the free version of the platform. You will no longer have access to premium features that are exclusive to paid users. Token Usage: Any remaining tokens in your account will expire and become unusable. Please make sure to use your tokens before the end of the current billing period, as they will not carry over or be refunded after your subscription ends. You may resubscribe to our platform at any time to regain access to premium features and content. However, any tokens from previously cancelled subscriptions that were not used within the relevant billing period cannot be carried over to a new subscription. Each subscription period is treated independently, and tokens must be used within their respective billing periods. If a subscription or non-subscription purchase is refunded, it is deemed immediately cancelled. All access to premium features and remaining tokens will be revoked at the time of refund processing. If a chargeback request is filed, the subscription or non-subscription purchase is immediately cancelled. All access to premium features and remaining tokens will be revoked at the time the chargeback request is filed. 10.3 Modifying subscription plans You can upgrade or downgrade your subscription plan at any time. The changes will take effect at the beginning of the next billing cycle. 10.4 Refund policy Before making payment for the Service, carefully review the financial terms and other policies and documents. Due to the digital nature of the AI generation services provided, all sales are final. We will not issue refunds of usage fees. You agree that You will not dispute or otherwise seek a "chargeback" from the company whose credit card You used to pay fees on the Service, except in the case of fraud. Should You do so, Crushon may, in its sole discretion, refuse to honor pending and future transactions or entries made from all credit card accounts or online accounts on which such chargebacks have been made and may prohibit all persons or businesses in whose name the credit card accounts exist and any person or business who accesses any associated online account or credit card or who otherwise breaches this provision from using the Service. 10.4.1 No Refund for Content Removed or Moderation Actions Taken in Response to Violations of our Policies • You will not be refunded or reimbursed for any previously paid-for content that was moderated or removed for violating any of our Policies. • You will not be refunded for restrictions on your use of the Services as a result of moderation actions taken in response to violations of any of our Policies. 10.4.2 No Refund for Changes in Platform Content or Functionality • We may modify or delete features or content at any time at our sole discretion (see Section 1). You will not be refunded or reimbursed for previous payments related to any such modifications or deletions that do not change the core platform or services within the meaning of applicable law. 11. No Guarantee of Accuracy, Originality, or Perfection A significant portion of the materials within our Services is synthesized by artificial intelligence and generated in real-time based on specific user prompts. By engaging with our platform, you acknowledge and concur that there are inherent technical constraints within emerging AI frameworks, and the resulting content may lack factual precision, may not be entirely original or unique to your profile, and may not align perfectly with your individual tastes or expectations. Furthermore, our automated oversight systems may proactively filter or modify your request prior to the generation of any output, particularly if your input is found to solicit prohibited or restricted material. While we remain dedicated to providing the most advanced technology and a premium user experience, we appreciate your cooperation as we continuously work to refine and enhance our Services. 12. Liability THE SERVICES ARE DELIVERED TO YOU ON AN "AS-IS" AND "AS AVAILABLE" BASIS, AND YOUR ENGAGEMENT WITH THE PLATFORM IS CONDUCTED ENTIRELY AT YOUR OWN DISCRETION AND RISK. TO THE MAXIMUM EXTENT PERMITTED BY GOVERNING STATUTES, WE EXPRESSLY DISCLAIM ALL REPRESENTATIONS AND WARRANTIES OF ANY KIND, WHETHER THEY BE EXPLICIT, IMPLIED, STATUTORY, OR OTHERWISE. THIS INCLUDES, BUT IS NOT LIMITED TO, ANY WARRANTIES OF MERCHANTABILITY, SUITABILITY FOR A PARTICULAR OBJECTIVE, SATISFACTORY QUALITY, NON-INFRINGEMENT OF THIRD-PARTY RIGHTS, AND LEGAL TITLE REGARDING THE SERVICES. WE PROVIDE NO ASSURANCE OR WARRANTY REGARDING THE FOLLOWING: A. THAT THE SERVICES (OR THE VARIOUS OUTPUTS DERIVED FROM THEIR USE) WILL BE DELIVERED IN A TIMELY MANNER, BE FREE FROM ERRORS, REMAIN SECURE, OR OPERATE WITHOUT INTERRUPTION; B. THAT THE FUNCTIONALITIES OF THE SERVICES WILL ALIGN WITH YOUR REQUIREMENTS OR NEEDS; C. THE PRECISION, PROBABLE OUTCOMES, OR OVERALL RELIABILITY OF THE MATERIALS FOUND ON OUR INTERFACE, OR ANY DATA RELATED TO SUCH MATERIALS ACCESSED THROUGH EXTERNAL LINKS CONNECTED TO OUR WEBSITE; D. THAT ANY GENERATED ASSETS, OUTPUTS, OR GENERAL CONTENT ARE ORIGINAL, DEVOID OF ERRORS, OR FACTUALLY ACCURATE; OR E. THAT ANY TECHNICAL DEFECTS, BUGS, OR MALFUNCTIONS WITHIN THE SERVICES WILL BE REMEDIED OR CORRECTED. IN NO EVENT SHALL WE OR OUR LICENSORS BE HELD ACCOUNTABLE OR LIABLE TO YOU OR ANY EXTERNAL PARTY—WHETHER UNDER THEORIES OF CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, INDEMNITY, OR ANY OTHER LEGAL DOCTRINE—FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. THIS EXCLUSION ENCOMPASSES, WITHOUT LIMITATION, THE LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES, AS WELL AS THE COSTS ASSOCIATED WITH PROCURING SUBSTITUTE SERVICES, ARISING EITHER ENTIRELY OR PARTIALLY FROM YOUR UTILIZATION OF (OR THE INABILITY TO ACCESS) THE SERVICES, REGARDLESS OF WHETHER WE WERE PREVIOUSLY INFORMED OF THE POTENTIAL FOR SUCH DAMAGES. UNDER NO CIRCUMSTANCES SHALL HUMANICCOMM LIMITED BE HELD RESPONSIBLE FOR ANY PERFORMANCE DELAYS OR FAILURES RESULTING FROM FACTORS BEYOND OUR REASONABLE CONTROL. 13. External Digital Gateways and Third-Party Interfaces The Services may incorporate integrated pathways or provide access to autonomous digital entities, websites, and applications that remain outside the operational control of HumanicComm Limited. It is important to recognize that the inclusion of such links does NOT constitute an endorsement or recommendation by us, and we provide no assurances regarding their technical security or alignment with your specific expectations. We explicitly disclaim all obligations and liability for any damages, losses, or other adverse impacts—whether direct or indirect—resulting from your engagement with any content, products, or services accessed through these third-party environments. For users with active subscriptions, the final processing of any outstanding or recurring fees remains subject to the specific operational regulations of the payment processors sanctioned or recognized by our platform. HumanicComm Limited reserves the authority to terminate these TOS and revoke your authorization to utilize the Services, with or without prior communication, for any reason—including instances of confirmed or suspected non-compliance with these Terms or any of our governing Policies. Furthermore, we reserve the absolute right to assign, transfer, or subcontract the operation of the Services to any third-party entities. Formal notification of such transitions will be prominently displayed within the platform, and your subsequent utilization or updating of the Services shall serve as your definitive consent to such organizational changes. 18. Miscellaneous Provisions and Entirety of Agreement Should any individual provision within these TOS or any other Policies be adjudicated as unlawful, void, or otherwise unenforceable by a competent legal authority, such a determination shall not compromise the validity or enforceability of the remaining stipulations. In such cases, the affected provision shall be enforced to the maximum extent permitted by law so as to most closely reflect the original intent of the parties involved. These TOS, along with our auxiliary Policies, represent the comprehensive and exclusive agreement between you and HumanicComm Limited regarding your access to and utilization of the Services. This agreement effectively supersedes and replaces all prior or contemporaneous communications, proposals, or understandings, whether conveyed orally or in writing.
